Financial Advisory Services
The varied background and senior-level experience of ICCP's key
officers have attracted a wide range of clientele for advisory services. For instance, ICCP acted as
the Financial Advisor to Ionics Circuits, Inc. (Ionics), a leading electronics contractor for IBM
Japan, in connection with the initial public offering of its common shares. Ionics proved to be one
of the most successful companies to list on the Philippine Stock Exchange.
ICCP has also been actively involved in providing financial advice to independent power producers
(IPP). It assisted one such IPP in the negotiation of its power supply agreement with the
National Power Corporation for a 54-megawatt bunker-fired power station, which was to be dedicated
to supply the power requirements of National Steel Corporation in Iligan at the height of the energy
crisis in 1993. ICCP also crafted an innovative strategy to mobilize equity and loan funds for an
IPP which was pioneering in supplying the power needs of an island province. What was particularly
addressed in this transaction was how to make a power supply contract with a rural electric
cooperative financeable, given the generally unacceptable risk of these utilities. The deal was
successfully completed, providing a model for funding reliable stand-alone power generating plants
in various other island provinces in the country.
ICCP has also provided advice to telecommunications companies. For
Major Telecoms, Inc., ICCP rendered assistance by way of the selection of the most financially
desireable offer from competing suppliers for its telephone exchange in Mindanao. ICCP also
formulated an entry strategy for Siemens AG relative to its P2.0 billion outside plant contract with
the Philippine Long Distance Telephone Company.
In the area of property development and tourism, ICCP, in collaboration
with the Development Bank of the Philippines, provided financial and strategic advice to the PNOC
Petrochemical Development Corporation for the establishment of the first and only petrochemical
estate in the Philippines. ICCP was also largely responsible for successfully convincing the Board
of Investments to include in its Investment Priorities Plan hotel projects in Metro Manila amounting
to US$ 50 million or more, which was an offshoot of an advisory engagement with the Kuok Group
relative to their plan to put up the EDSA Shangrila and Makati Shangrila hotels.
ICCP's financial advisory engagements may involve transactional
arrangements or consultancy arrangements on retainer basis. ICCP also provides investor assistance,
particularly for foreign investors establishing operation in the Philippines. In this instance,
ICCP's work include partner search, assistance in requisite government approvals and registration
requirements, the formulation of an iterative financial model to test the financial implications of
different business and financial strategies for a given project, and the preparation of placement or credit
memoranda for fund raising activities, including financial projections and proforma financial
statements.
Mergers and Acquisitions Advisory
ICCP assists companies in the study and execution of acquisition programs. For instance, we provided the valuation and due diligence work for an investor who was considering to acquire a substantial equity position in a food company. Working against a tight time constraint, ICCP managed to carry out its work, which enabled the investor to complete its decision-making process and to implement the acquisition ahead of competing interested parties.
ICCP has also led and organized investor groups for the purposes of acquiring ownership of medium-sized companies. Typically, ICCP's role involves selection of an acquisition candidate, identification and organization of the investor group and negotiation with the principals involved. Its insights and knowledge of various situations are useful in ensuring that investors attain their acquisition objectives.
In the course of this work, ICCP has developed an active network of local as well as foreign groups seeking investment opportunities in the Philippines. ICCP continues to assist these investors in looking for investment situations that suit their particular strategies.
